Arm designs the fundamental CPU architecture and associated logic, then licenses it to companies like Qualcomm and Apple. Those licensees can modify the design according to the terms of the contract, then manufacture them.<\/p>\n<p>Owning the underpinnings of every smartphone on the market would give Nvidia enormous power, theoretically allowing it to play favorites. It would also give Nvidia the ability to shape Arm development in the server industry, potentially striking favorable deals for companies building Arm servers with Nvidia GPUs.<\/p>\n<p>Jensen Huang, Nvidia\u2019s chief executive, doesn\u2019t see it that way. In a conference call with analysts on Sunday, Huang offered a lengthy argument that owning Arm\u2019s intellectual property will complement Nvidia\u2019s existing businesses, and help Arm accelerate its own technology roadmap. He pointed to the company\u2019s acquisition of networking powerhouse Mellanox, a mere $7 billion transaction that was signed in March and <a href=\"https:\/\/nvidianews.nvidia.com\/news\/nvidia-completes-acquisition-of-mellanox-creating-major-force-driving-next-gen-data-centers?ncid=afm-chs-44270&amp;ranMID=44270&amp;ranEAID=msYS1Nvjv4c&amp;ranSiteID=msYS1Nvjv4c-WXNKwwWwCkEWm230j3eywA\" rel=\"nofollow\">completed<\/a> this past April.\u00a0\u00a0<\/p>\n<h2>A surprise argument for an antitrust investigation<\/h2>\n<p>The argument for a strong antitrust investigation has been essentially made by&#8230; Arm\u2019s co-founder. Hermann Hauser\u00a0<a href=\"https:\/\/www.bbc.com\/news\/technology-53637463\" rel=\"nofollow\">told the BBC<\/a> that Softbank, the Japanese conglomerate that plans to sell Arm to Nvidia in a potential $40 billion deal, was essentially neutral in terms of licensing Arm\u2019s technology to companies like Apple, Qualcomm, and Samsung. Because Softbank is a massive conglomerate spanning multiple industries, Arm\u2019s licensing practices were essentially neutral.<\/p>\n<p>Under Nvidia, the company will be licensing Arm technology to Nvidia\u2019s rivals\u2014implicitly threatening Arm\u2019s neutrality, and raising doubts that those companies will be treated equally, Hauser said. \u201cIf it becomes part of Nvidia, most of the licensees are competitors of Nvidia, and will of course then look for an alternative to Arm,\u201d Hauser said.<\/p>\n<p>The argument then, of course, will be: what alternative? In the server market, that would mean Intel, AMD, Arm, and a small coterie of Chinese processor suppliers.\u00a0RISC-V is growing as <a href=\"https:\/\/venturebeat.com\/2019\/12\/11\/risc-v-grows-globally-as-an-alternative-to-arm-and-its-license-fees\/\" rel=\"nofollow\">a royalty-free alternative to Arm<\/a>, but remains relatively small at this point. In the smartphone market, there\u2019s little choice besides Arm.\u00a0<\/p>\n<h2>Huang: Nvidia and Arm are \u201ccomplementary\u201d<\/h2>\n<p>Huang, of course, thinks differently. In a Sunday evening call with analysts, Huang sad that he believes that regulatory agencies are \u201clogical,\u201d and \u201care about protecting competition in the markets.\u201d<\/p>\n<aside class=\"nativo-promo nativo-promo-1 smartphone tablet desktop\" id=\"\"\/>\n<p>\u201cYou know that we have a fair amount of experience here recently with Mellanox,\u201d Huang said. \u201c And the thing that I can tell you about the regulatory discussions\u2014it\u2019s logical, and it\u2019s about protecting competition in the markets.<\/p>\n<p>\u201cJust as with the case of Mellanox, Nvidia and ARM are completely complementary,\u201d Huang continued. \u201cNvidia doesn\u2019t design CPUs; we have no CPU instruction set.\u00a0 Nvidia doesn\u2019t license IP to semiconductor companies and in that very way we\u2019re not competitors. And we have every intention to add more IP to it. And, and also unlike Arm, Nvidia does not participate in the cell phone market. And so the two companies are very complementary.<\/p>\n<p>\u201cThe customers will see the benefit as well, and the regulatory agencies will see it as well: Our intention is to combine the engineering and the technical, the R&amp;D capacity of both companies, so that we can accelerate the development of technology for Arm\u2019s vast ecosystem,\u201d Huang concluded.<\/p>\n<p>Simon Segars, the current chief executive of Arm, agreed. \u201cA<span class=\"transcript-snippet__content__body__word\">nyone<\/span> <span class=\"transcript-snippet__content__body__word\">who<\/span> <span class=\"transcript-snippet__content__body__word\">wants<\/span> <span class=\"transcript-snippet__content__body__word\">to<\/span> <span class=\"transcript-snippet__content__body__word\">build<\/span> <span class=\"transcript-snippet__content__body__word\">a<\/span> <span class=\"transcript-snippet__content__body__word\">chip\u2014w<\/span><span class=\"transcript-snippet__content__body__word\">e<\/span> <span class=\"transcript-snippet__content__body__word\">are<\/span> <span class=\"transcript-snippet__content__body__word\">in<\/span> <span class=\"transcript-snippet__content__body__word\">the<\/span> <span class=\"transcript-snippet__content__body__word\">business<\/span> <span class=\"transcript-snippet__content__body__word\">of<\/span> <span class=\"transcript-snippet__content__body__word\">providing<\/span> <span class=\"transcript-snippet__content__body__word\">technology<\/span> <span class=\"transcript-snippet__content__body__word\">to<\/span> <span class=\"transcript-snippet__content__body__word\">them,\u201d he said. \u201c<\/span><span class=\"transcript-snippet__content__body__word\">That\u2019s<\/span> <span class=\"transcript-snippet__content__body__word\">been<\/span> <span class=\"transcript-snippet__content__body__word\">the<\/span> <span class=\"transcript-snippet__content__body__word\">value<\/span> <span class=\"transcript-snippet__content__body__word\">of<\/span>\u00a0A<span class=\"transcript-snippet__content__body__word\">rm<\/span> <span class=\"transcript-snippet__content__body__word\">and<\/span> <span class=\"transcript-snippet__content__body__word\">it<\/span> <span class=\"transcript-snippet__content__body__word\">would<\/span> <span class=\"transcript-snippet__content__body__word\">obviously<\/span> <span class=\"transcript-snippet__content__body__word\">be<\/span> <span class=\"transcript-snippet__content__body__word\">hugely<\/span> <span class=\"transcript-snippet__content__body__word\">value-<\/span><span class=\"transcript-snippet__content__body__word\">destructive<\/span> <span class=\"transcript-snippet__content__body__word\">to<\/span> <span class=\"transcript-snippet__content__body__word\">to<\/span> <span class=\"transcript-snippet__content__body__word\">do<\/span> <span class=\"transcript-snippet__content__body__word\">something<\/span> <span class=\"transcript-snippet__content__body__word\">else.\u201d<\/span><\/p>\n<aside class=\"nativo-promo nativo-promo-2 tablet desktop smartphone\" id=\"\"\/>\n<p>Huang said that the Nvidia-Arm partnership would be used to accelerate the development of server CPUs like the Amazon Gravitron, a custom 64-bit Arm CPU that Amazon uses in its own EC2 data centers, or Nvidia\u2019s own <a href=\"https:\/\/developer.nvidia.com\/buy-jetson\" rel=\"nofollow\">Jetson CPUs<\/a> for edge computing. And <a href=\"https:\/\/www.msn.com\/en-us\/news\/technology\/fujitsu-backed-supercomputer-with-arm-chips-ranks-as-worlds-most-powerful\/ar-BB15POC0\" rel=\"nofollow\">Fujitsu\u2019s Fugaka supercomputer<\/a>, built with Arm chips, is the world\u2019s most powerful, Huang added.\u00a0<\/p>\n<p>Will competitors agree with Huang\u2019s assessment? Will the Department of Justice or the European Union? If history holds, the deal won\u2019t close for at least a year\u2019s time, and Huang said he expects it to take that long or longer.
